Szabályozási végrehajtás Hollandiában: felügyelők, bírságok és fellebbezések

Megfelelőségi keretrendszer

Regulatory enforcement in the Netherlands runs almost entirely through administrative law: a Dutch supervisor does not need a court to enter your premises, demand your records, order you to stop or impose a fine. The main exception is that you are not obliged to answer questions once the supervisor is building a case for a fine; from that moment Article 5:10a of the General Administrative Law Act (Algemene wet bestuursrecht, Awb) gives you a right to remain silent.

The Awb sets out both the supervisory powers and their limits. This article explains what a supervisor may demand, where your duty to cooperate stops, how a fine is imposed and how you challenge it within the six-week deadline.

What may a Dutch supervisor demand from you?

A supervisor (toezichthouder) may enter your business premises, demand information and inspect and copy your business records. These powers are in Articles 5:15 to 5:19 Awb and apply to every designated supervisor, from the Autoriteit Persoonsgegevens (AP) to a municipal inspector.

Under Article 5:15 Awb a supervisor may enter any place except a dwelling without the occupant’s consent, if necessary with police assistance. Article 5:16 Awb allows it to demand information, and Article 5:17 Awb to inspect business data and documents and make copies, or take them away for a short time against a written receipt if copying on site is not possible.

No suspicion of a breach is required. Supervision is preventive, so an inspector may visit simply because your sector is on this year’s inspection programme. The only general limit is Article 5:13 Awb: a supervisor may use its powers only as far as reasonably necessary for its task.

How far does your duty to cooperate go?

Under Article 5:20(1) Awb everyone must give a supervisor all cooperation it can reasonably demand, within the reasonable period it sets. Intentionally refusing or obstructing a supervisor is a criminal offence under Article 184 of the Dutch Criminal Code (Sr), punishable by up to three months’ imprisonment or a fine.

The duty has three limits that are worth knowing before an inspector is standing in reception.

Professional secrecy

Article 5:20(2) Awb allows those bound to confidentiality by office, profession or statute to refuse cooperation as far as that confidentiality reaches. Your correspondence with your Dutch lawyer (advocaat) is covered by legal professional privilege (verschoningsrecht). In EU competition investigations by the European Commission, advice from in-house lawyers is not privileged, so a group that stores all advice in one system should think about where that advice sits.

The right not to incriminate yourself

Once questioning is aimed at imposing a punitive sanction such as an administrative fine, Article 5:10a Awb applies: you are not obliged to make statements about the breach, and you must be told so before questioning. The line between routine supervision and a fining investigation is often crossed halfway through a conversation, which is why one briefed person should handle all contact.

Scope of the request

A supervisor may only demand what it reasonably needs for its statutory task (Article 5:13 Awb). Overbroad requests can be narrowed in writing, with reasons, within the period the supervisor has set, instead of being answered in full out of nervousness.

Which supervisor is responsible for your file?

Most organisations answer to more than one authority. The first question in any incident is which one has jurisdiction, because the powers, deadlines and appeal route follow from that.

  • Autoriteit Persoonsgegevens (AP): personal data under the GDPR and the Dutch GDPR Implementation Act, including breach notifications and data subject rights.
  • Autoriteit Financiële Markten (AFM) and De Nederlandsche Bank (DNB): conduct and prudential supervision of financial undertakings under the Financial Supervision Act (Wft).
  • Autoriteit Consument & Markt (ACM): competition, consumer protection and sector regulation for energy, telecoms, transport and post.
  • Nederlandse Voedsel- en Warenautoriteit (NVWA): food and product safety, labelling, traceability and recalls.
  • Inspectie Leefomgeving en Transport (ILT): transport, environment and housing, including permits and safety management.
  • Municipalities and provinces: environmental permits, use of buildings and land, hospitality, events and local by-laws.

Overlap is common. A data breach at a payment company can involve the AP and the AFM at the same time, and a product incident can involve the NVWA and the ACM. Where two supervisors are involved, decide the order of your answers, because information given to one can reach the other.

Which enforcement measures can a supervisor take?

Dutch supervisors choose between restorative measures, which end the breach, and punitive measures, which punish it. The difference matters, because the safeguards for punitive sanctions, such as the right to remain silent, do not apply to restorative ones.

The main restorative measures are the order subject to a penalty payment (last onder dwangsom), which requires you to act by a date on pain of a fixed sum per day or per breach, and administrative coercion (last onder bestuursdwang), which allows the authority to carry out the work itself at your expense. Our article on bírságfizetési meghagyások és közigazgatási végrehajtás explains how these work in practice.

The punitive measure is the administrative fine (bestuurlijke boete). Under Article 5:46(1) Awb the statute that creates the offence sets the maximum; for data protection the maximum follows from the GDPR itself. Sector statutes add measures that can hurt more than money: withdrawal or suspension of a licence, instructions to the board, a ban on a person holding a position in a regulated firm, and publication of the decision.

How is an administrative fine imposed?

A fine follows a fixed sequence: a report, your opportunity to respond, and then a reasoned decision. Each step is a chance to influence the outcome.

Where a fine of more than €340 can be imposed, Article 5:53 Awb requires the supervisor to draw up a report (rapport) of the breach and to give you the opportunity to state your view (zienswijze) before it decides. The decision itself, with its reasons, starts the clock for objection.

Two statutory bars protect you against double punishment. Under Article 5:43 Awb no fine may be imposed if you have already been fined for the same breach. Under Article 5:44 Awb no fine may be imposed once criminal proceedings for the same conduct have reached trial or a punishment order (strafbeschikking) has been issued. The choice between the administrative and the criminal route is usually made between the supervisor and the Public Prosecution Service (Openbaar Ministerie) without your involvement, but it determines which rights you have and which court you will face.

Can the amount of the fine be reduced?

Yes. Under Article 5:46(2) Awb the supervisor must tailor the fine to the seriousness of the breach and the degree to which you can be blamed for it. Most supervisors publish fining policies with a base amount that is then adjusted for duration, culpability, turnover and repeat offences.

Where a statute sets a fixed fine, Article 5:46(3) Awb still requires a lower fine if you show that the fixed amount is disproportionate in your case. Evidence of actual harm, remediation already carried out and ability to pay belongs in the zienswijze, not only in a later appeal.

How do you object and appeal against a supervisor’s decision?

You file an objection (bezwaar) with the authority that took the decision within six weeks (Article 6:7 Awb). The period starts on the day after the decision was announced in the prescribed way (Article 6:8 Awb); if you miss it without a valid excuse, the decision becomes final, however wrong it is.

After the decision on objection, you can appeal to the administrative court, and from there to a higher court. Which courts depend on the statute. Decisions under, among others, the Competition Act (Mededingingswet) and parts of the Financial Supervision Act go to the District Court of Rotterdam and then to the Trade and Industry Appeals Tribunal (College van Beroep voor het bedrijfsleven, CBb). Decisions of the AP and most municipal decisions go to the district court of your region and then to the Administrative Jurisdiction Division of the Council of State (Raad van State). Our guides on the kifogásolási eljárás és a Államtanács Magyarázd el mindkét szakaszt.

A kifogás felfüggeszti-e a döntést?

No. An order that takes effect immediately, or a publication that is about to happen, can only be stopped by asking the preliminary relief judge (voorzieningenrechter) of the administrative court for interim relief (voorlopige voorziening) under Article 8:81 Awb. That request requires urgency and has to be prepared in days, not weeks.

Why is publication of a sanction often the heaviest measure?

Several supervisory statutes, including the Financial Supervision Act, require the supervisor to publish sanction decisions naming the company, sometimes before the decision is final. For a licensed firm, a fintech or a food producer, that publication reaches customers, banks and business partners long before a court has ruled.

Publication can trigger contractual termination rights, bank de-risking and exclusion from tenders. It is a separate decision that you can challenge separately, and the interim relief route under Article 8:81 Awb is usually the only effective one. Arguments that succeed tend to be concrete: publication would be disproportionate to the breach, would identify individuals unnecessarily, or misstates what was actually found.

How do you build a file that survives an inspection?

Supervisors look for evidence, not policies. A policy that nobody can show was communicated, applied and tested carries little weight, while a modest control with dated records behind it carries a lot.

  • Keep an obligations register that links each rule to a named owner and a process.
  • Keep dated records of training, incidents and the follow-up given to them.
  • For personal data, keep the record of processing activities (Article 30 GDPR) and the data protection impact assessments; our note on the adatfeldolgozási megállapodás covers the contractual side.
  • During an inspection, appoint one contact person and keep a log of every question and every document handed over.
  • Confirm oral exchanges in writing on the same day, and answer what was asked, not what you fear may be asked next.

If you start an internal investigation in response to a supervisor’s request, decide at the outset who runs it. A report by consultants that circulates freely inside the company can be demanded under Article 5:17 Awb and read as an admission. The same investigation run under a lawyer’s instruction, with a written scope and a clear reporting line, keeps the legal analysis within privilege while the factual findings can still be shared.

Regulated sectors add their own rules on top of this framework. Financial and crypto businesses face licensing and client due diligence duties; see our articles on kriptovaluta-megfelelőségi kockázatok és pénzmosás megelőzése. The Awb still governs how each supervisor exercises its powers and how you can resist them.

What can we do for you with regulatory enforcement?

As megfelelőségi ügyvédek és a vállalati ügyvédek, we act for companies at every stage of a supervisory file:

  • We attend or prepare an inspection and set up one point of contact and an inspection log.
  • We review information requests and narrow overbroad requests in writing within the supervisor’s deadline.
  • We draft your zienswijze against an intended fine, including arguments on amount and proportionality.
  • We file the objection within the six-week deadline and conduct the appeal before the district court, the CBb or the Council of State.
  • We apply for interim relief against immediate orders and against publication of a sanction.
  • We structure an internal investigation so that the legal analysis stays privileged.

Összegzésként

  • Dutch supervisors can enter premises, demand information and copy records without a court order (Articles 5:15-5:17 Awb), but only as far as reasonably necessary.
  • You must cooperate (Article 5:20 Awb), except where professional secrecy applies or where questioning is aimed at a fine (Article 5:10a Awb).
  • For fines above €340 you get a report and the right to state your view before the decision (Article 5:53 Awb).
  • Objection must be filed within six weeks; it does not suspend the decision, so interim relief may be needed.
  • Publication of a sanction is a separate decision and often the measure that hurts most.

Gyakran Ismételt Kérdések

Can a Dutch supervisor enter my office without a court order?

Yes. Under Article 5:15 Awb a supervisor may enter any place except a dwelling without a warrant, if necessary with police assistance. A dwelling requires the occupant’s consent or a separate legal basis.

Do I have to answer a supervisor’s questions?

You must cooperate with reasonable requests (Article 5:20 Awb). Once the questioning is aimed at imposing a fine, you are not obliged to make statements about the breach and must be told so first (Article 5:10a Awb).

What is the deadline to object to a fine?

Six weeks, starting on the day after the decision was announced (Articles 6:7 and 6:8 Awb). The objection goes to the authority that imposed the fine.

Can I stop publication of a sanction?

Only by asking the preliminary relief judge of the administrative court for interim relief (Article 8:81 Awb). Filing an objection alone does not stop publication.
